The company was incorporated as a wholly owned subsidiary of ITC Ltd. in July 2023. On August 14, 2023, the Boards of Directors of ITC Ltd. and ITC Hotels approved, subject to the necessary statutory and regulatory approvals, a Scheme of Arrangement between ITC Ltd. and the company and their respective shareholders and creditors for the demerger of ITC Ltd.'s Hotels Business, as defined under the Scheme, on a going-concern basis. The Scheme was approved by the National Company Law Tribunal (NCLT), Kolkata Bench, through its order dated October 4, 2024, and became effective on January 1, 2025.
