To approve the draft Notice of Postal Ballot along with explanatory statement pursuant to Section 102 of the Companies Act, 2013, and authorize issuance of the same to members. 6. To appoint a Scrutinizer for conducting the Postal Ballot and e-voting process in a fair and transparent manner. 7. To authorize Directors / Company Secretary to make necessary arrangements with NSDL/CDSL (e-voting agency) and to do all acts incidental to the postal ballot process. 8. To approve and authorize execution of Share Swap Agreement and other necessary transaction documents. 9. Any other matter with the permission of the Chair. |
